Welcome to Cookie Jar. These Terms of Service ("Terms") govern Your access to
and use of the Cookie Jar mobile application, website, and related services
(collectively, the "Service") provided by Cookie Jar ("we," "us," or "our").
By creating an account or using the Service, You agree to these Terms. If You
do not agree, You may not access or use the Service. These Terms apply to all
visitors, users, and others who access or use the Service.
These Terms should be read alongside our Privacy Policy and End User License
Agreement (EULA), all of which are incorporated herein by reference.

1. ELIGIBILITY AND ACCOUNTS

1.1 AGE REQUIREMENT
You must be at least 18 years of age to use Cookie Jar. By using the
Service, You represent and warrant that You meet this requirement. If we
discover that You are under 18, we will immediately terminate Your account.
1.2 ACCOUNT CREATION
To access most features of Cookie Jar, You must register for an account.
When creating an account, You agree to:
(a) Provide accurate, truthful, current, and complete information;
(b) Maintain and update Your information to keep it accurate and current;
(c) Protect Your password and account credentials;
(d) Accept responsibility for all activity that occurs under Your account;
(e) Notify us immediately at support@cookiejarapp.com if You suspect
unauthorized access to Your account.
1.3 ONE ACCOUNT PER USER
You may only create and maintain one Cookie Jar account. Creating multiple
accounts is prohibited and may result in the termination of all associated
accounts.
1.4 ACCOUNT SECURITY
You are responsible for maintaining the security of Your account. We will
not be liable for any loss or damage arising from Your failure to secure
Your account credentials. We recommend using a strong, unique password and
enabling any available two-factor authentication options.

2. THE SERVICE

2.1 DESCRIPTION
Cookie Jar is a private mobile application designed exclusively for
couples. The Service allows two connected users ("Partners") to:
(a) Write private "wishes" and add them to a shared virtual jar;
(b) Draw a random wish from the jar at any time;
(c) Mark wishes as completed;
(d) View the number of available wishes in the jar;
(e) Delete wishes that have not yet been completed;
(f) Manage their partner connection.
2.2 PARTNER CONNECTION
The Service is built around a two-person experience. Each account may be
connected to only one (1) Partner at a time. Connections are established
through an email invitation or unique invitation code. Both parties must
accept the connection for it to be active.
2.3 FREE SERVICE
Cookie Jar is currently provided free of charge. We reserve the right to
introduce paid features, subscriptions, or pricing changes in the future.
We will provide advance notice before any such changes affect existing
users.
2.4 SERVICE AVAILABILITY
We strive to keep Cookie Jar available at all times but do not guarantee
uninterrupted access. The Service may be temporarily unavailable due to
maintenance, updates, or circumstances beyond our control. We are not
liable for any inconvenience or loss resulting from Service unavailability.
2.5 SERVICE CHANGES
We reserve the right to modify, suspend, or discontinue any part of the
Service at any time, with or without notice. We will use reasonable efforts
to notify users of significant changes in advance.

3. USER CONTENT AND CONDUCT

3.1 YOUR CONTENT
The Service allows You to create and submit content, including wishes,
messages, and other text ("User Content"). You retain ownership of Your
User Content. By submitting User Content, You grant Cookie Jar a limited,
non-exclusive, worldwide, royalty-free license to store, process, and
display Your User Content solely as necessary to operate and provide
the Service.
3.2 CONTENT STANDARDS
You agree that all User Content You submit will:
(a) Be accurate and truthful where it represents facts;
(b) Comply with all applicable local, national, and international laws
and regulations;
(c) Not infringe any patent, trademark, trade secret, copyright, or
other intellectual property rights of any person;
(d) Not violate the privacy rights, publicity rights, or other personal
rights of any person.
3.3 PROHIBITED CONTENT
You agree NOT to submit User Content that:
(a) Is unlawful, harmful, threatening, abusive, harassing, defamatory,
or otherwise objectionable;
(b) Contains sexually explicit or pornographic material;
(c) Promotes discrimination, hatred, or violence based on race, gender,
religion, nationality, sexual orientation, disability, or other
protected characteristics;
(d) Contains personal information of third parties without their consent;
(e) Constitutes or facilitates illegal activity;
(f) Contains malware, viruses, or any other malicious code;
(g) Constitutes unsolicited commercial communications.
3.4 PROHIBITED CONDUCT
You agree NOT to:
(a) Use the Service for any commercial purpose;
(b) Attempt to access another user's account or private data;
(c) Interfere with, disrupt, or overburden the Service or its
infrastructure;
(d) Circumvent, disable, or otherwise interfere with security features
of the Service;
(e) Use automated tools (bots, scrapers, crawlers) to access the Service;
(f) Impersonate any person or entity or misrepresent Your affiliation;
(g) Use the Service to harass, stalk, or harm another person, including
Your Partner;
(h) Collect or harvest data about other users without their consent.
3.5 CONTENT MODERATION
We do not actively monitor User Content but reserve the right to review,
remove, or disable access to any User Content at our sole discretion,
particularly if we receive reports of abuse or if content violates these
Terms.
3.6 REPORTING ABUSE
If You believe any User Content violates these Terms or applicable law,
please report it to us at contact@getcookiejar.com. We will review reports
and take appropriate action.

4. PRIVACY AND DATA

4.1 Our Privacy Policy, available at www.cookiejarapp.com/privacy and within
the Application, explains how we collect, use, and share information about
You when You use the Service. By using Cookie Jar, You agree to our
Privacy Policy.
4.2 WISH PRIVACY
Wishes marked as "private" are designed to be concealed from Your Partner
until they are randomly drawn from the jar. While we implement reasonable
technical safeguards, we cannot guarantee absolute privacy and are not
liable for any inadvertent disclosure.
4.3 PARTNER DATA ACCESS
When You connect with a Partner, Your Partner will have access to:
(a) The total count of wishes available in the shared jar;
(b) The content of any wish that they draw from the jar;
(c) Wishes that are marked as completed;
(d) Your display name and account status.
4.4 DATA RETENTION
We retain Your account data and User Content for as long as Your account
is active or as necessary to provide the Service. Upon account deletion,
we will delete Your personal data in accordance with our Privacy Policy,
subject to legal retention requirements.

5. INTELLECTUAL PROPERTY

5.1 COOKIE JAR INTELLECTUAL PROPERTY
All rights, title, and interest in and to the Service, including its
design, software, graphics, trademarks, and content (excluding User
Content), are and will remain the exclusive property of Cookie Jar and
its licensors. Nothing in these Terms grants You any right to use the
Cookie Jar name, logo, or other trademarks.
5.2 FEEDBACK
If You provide us with feedback, suggestions, or ideas about the Service
("Feedback"), You grant us the right to use such Feedback without
restriction or compensation to You.
5.3 COPYRIGHT INFRINGEMENT
If You believe that any content on the Service infringes Your copyright,
please contact us at legal@cookiejarapp.com with the following:
(a) A description of the copyrighted work you claim has been infringed;
(b) The location of the allegedly infringing material on the Service;
(c) Your contact information;
(d) A statement of good faith belief that the use is not authorized;
(e) A statement, under penalty of perjury, that the information in
your notice is accurate and that You are the copyright owner
or authorized to act on their behalf.

6. THIRD-PARTY LINKS AND SERVICES

6.1 The Service may contain links to third-party websites or services.
We do not control, endorse, or assume responsibility for any third-party
content, products, or services. Your use of third-party services is
governed by their respective terms and privacy policies.
6.2 Push notification services, analytics providers, and cloud storage
providers may be used to operate the Service. These providers are bound
by contractual obligations consistent with our Privacy Policy.

7. DISCLAIMERS

7.1 THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT
WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
7.2 COOKIE JAR DOES NOT WARRANT THAT:
(a) THE SERVICE WILL FUNCTION WITHOUT INTERRUPTION OR ERROR;
(b) DEFECTS WILL BE CORRECTED;
(c) THE SERVICE IS FREE OF HARMFUL COMPONENTS;
(d) THE RESULTS OF USING THE SERVICE WILL MEET YOUR EXPECTATIONS.
7.3 COOKIE JAR IS A TOOL TO FACILITATE SHARED EXPERIENCES BETWEEN PARTNERS.
WE ARE NOT RESPONSIBLE FOR THE QUALITY, NATURE, OR OUTCOME OF ANY
ACTIVITIES UNDERTAKEN AS A RESULT OF USING THE SERVICE, NOR FOR ANY
RELATIONSHIP OUTCOMES BETWEEN USERS.
7.4 WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, COMPLETENESS,
OR RELIABILITY OF ANY USER CONTENT ON THE SERVICE.

8. LIMITATION OF LIABILITY

8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
COOKIE JAR, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES,
INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, SERVICE
INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, OR THE COST OF SUBSTITUTE
SERVICES.
8.2 COOKIE JAR'S TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING UNDER
OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE
GREATER OF (i) THE TOTAL FEES YOU HAVE PAID TO COOKIE JAR IN THE SIX (6)
MONTHS PRECEDING THE CLAIM, OR (ii) FIFTY DOLLARS (USD $50.00).
8.3 THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY
(CONTRACT, TORT, STATUTE, OR OTHERWISE) AND EVEN IF COOKIE JAR HAS BEEN
ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
8.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN
DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

9. INDEMNIFICATION

9.1 You agree to defend, indemnify, and hold harmless Cookie Jar and its
affiliates, officers, directors, employees, contractors, agents,
licensors, and service providers from and against any and all claims,
damages, obligations, losses, liabilities, costs, and expenses (including
attorneys' fees) arising from:
(a) Your use of or inability to use the Service;
(b) Your User Content;
(c) Your violation of these Terms;
(d) Your violation of any law or the rights of a third party;
(e) Your Partner's use of the Service in connection with Your shared jar.

10. TERMINATION

10.1 TERMINATION BY YOU
You may terminate Your account at any time through the account settings
within the Application. Termination of Your account does not relieve You
of obligations incurred prior to termination.
10.2 TERMINATION BY US
We may suspend or terminate Your access to the Service at any time,
with or without cause and with or without notice, including if:
(a) You breach any provision of these Terms;
(b) We are required to do so by law;
(c) We decide to discontinue the Service;
(d) Your conduct creates risk or legal exposure for us or other users.
10.3 EFFECT OF TERMINATION
Upon termination, Your right to use the Service will immediately cease.
Provisions of these Terms that by their nature should survive termination
will survive, including Sections 3, 5, 7, 8, 9, 11, 12, and 13.
10.4 PARTNER IMPACT
If Your account is terminated, Your connected Partner's access to the
shared jar may also be affected. We are not liable for any impact on
Your Partner resulting from Your account termination.

11. DISPUTE RESOLUTION

11.1 INFORMAL RESOLUTION
Before filing a formal claim, You agree to first contact us at
legal@cookiejarapp.com and attempt to resolve the dispute informally.
We will use good-faith efforts to resolve the dispute within thirty (30)
calendar days of receiving Your notice.
11.2 BINDING ARBITRATION
If informal resolution fails, any dispute, claim, or controversy arising
out of or relating to these Terms or the Service shall be resolved by
binding arbitration administered by the American Arbitration Association
("AAA") under its Consumer Arbitration Rules, except as otherwise provided
herein. The arbitration will be conducted in English.
11.3 CLASS ACTION WAIVER
YOU AND COOKIE JAR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER
ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER
IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. If this class action
waiver is found unenforceable, then the entirety of the arbitration
provision shall be null and void.
11.4 EXCEPTIONS
Notwithstanding the above, either party may seek injunctive or other
equitable relief from a court of competent jurisdiction for:
(a) Intellectual property infringement claims;
(b) Unauthorized access to or use of the Service.
11.5 TIME LIMITATION
Any claim arising out of or related to these Terms or the Service must
be brought within one (1) year after the cause of action arises, or
such claim is permanently barred.

12. GOVERNING LAW

12.1 These Terms shall be governed by and construed in accordance with the
laws of the State of Delaware, United States, without regard to its
conflict of law principles.
12.2 To the extent disputes are not subject to arbitration, You consent to
the exclusive jurisdiction of the state and federal courts located in
the State of Delaware.
12.3 If You are a consumer resident in a jurisdiction with mandatory local
consumer protection laws, those laws may apply to You in addition to
these Terms.

13. GENERAL PROVISIONS

13.1 ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and EULA, constitute the
entire agreement between You and Cookie Jar regarding the Service and
supersede all prior agreements and understandings.
13.2 AMENDMENTS
We may amend these Terms at any time. We will notify You of material
changes by updating the "Last Updated" date and providing notice through
the Application. Your continued use of the Service after changes take
effect constitutes acceptance of the revised Terms.
13.3 SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining
provisions will remain in full force and effect. The unenforceable
provision will be modified to the minimum extent necessary to make it
enforceable.
13.4 WAIVER
Our failure to enforce any provision of these Terms will not be deemed
a waiver of that provision or our right to enforce it in the future.
13.5 ASSIGNMENT
You may not assign or transfer these Terms or Your rights hereunder
without our prior written consent. We may assign or transfer these Terms,
in whole or in part, without restriction.
13.6 FORCE MAJEURE
We will not be liable for any failure to perform our obligations where
such failure results from causes beyond our reasonable control, including
natural disasters, acts of government, internet service disruptions,
or other extraordinary events.
13.7 NO PARTNERSHIP
Nothing in these Terms creates any partnership, joint venture, agency,
franchise, employment, or other special relationship between You and
Cookie Jar. You have no authority to make representations or commitments
on our behalf.
13.8 HEADINGS
Section headings in these Terms are for convenience only and have no
legal or contractual effect.
13.9 LANGUAGE
These Terms are written in English. In the event of any conflict between
a translated version and the English version, the English version controls.
